1.Purpose and Scope
This Cancellation and Refund Policy explains cancellation, renewal, payment-failure, and refund rules for Neosophical Labs Pvt Ltd. Neosophical Labs Pvt Ltd is an AI venture product studio that builds AI-native products and partners with non-technology businesses and founders to design, develop, operate, and scale digital products, automation systems, technology infrastructure, and related services.
2.Digital Service and Payment Model
Neosophical Labs Pvt Ltd provides digital software, platform access, subscriptions, workspaces, implementation services, outputs, support, and related services. The Service may offer monthly, annual, weekly, trial, promotional, enterprise, usage-based, custom, invoice-based, or other plans depending on product availability and commercial terms.
Current prices, taxes, plan inclusions, billing cycles, renewal terms, trial terms, feature limits, usage limits, and payment methods will be displayed at checkout, in the applicable proposal, in the invoice, in the app, on the website, or through the relevant billing platform.
3.Cancellation of Subscriptions or Services
Users, customers, clients, or authorized administrators may cancel future renewal through the account, app-store, website, dashboard, payment-provider, billing, invoice, admin, or support mechanism made available for the subscription, plan, or service.
Cancellation prevents future renewal after it becomes effective. Cancellation does not reverse, refund, or cancel a payment that has already been willingly made and successfully processed.
Unless otherwise stated, access generally continues until the end of the already-paid billing period after cancellation. We may restrict access earlier where required for legal, security, non-payment, fraud, abuse, contract, or policy reasons.
Deleting the app, abandoning the account, not logging in, removing team members, blocking notifications, deleting a workspace, stopping usage, or ceasing communication does not by itself cancel a subscription, recurring mandate, plan, invoice, milestone, or payment obligation. The user or customer is responsible for completing the applicable cancellation process before the renewal date or payment due date.
4.No Refunds After Willing Payment
To the maximum extent permitted by applicable law, once a payment is willingly made by the user, customer, client, organization, or authorized representative and the payment is successfully processed, no refund shall be generated by Neosophical Labs Pvt Ltd.
A payment is considered willingly made when the user, customer, client, organization, or authorized representative completes checkout, approves a payment mandate, pays an invoice, selects a plan, renews a subscription, authorizes a payment provider, or otherwise voluntarily makes payment for the Service.
No full or partial refund, pro-rata refund, credit, extension, downgrade adjustment, carry-forward, or reversal will be provided merely because:
- the client, customer, user, or authorized representative changes their mind after payment;
- the client does not use, review, approve, publish, deploy, or implement the digital service, deliverable, access, prototype, or output provided;
- the client delays, withholds, changes, or fails to provide required inputs, approvals, access, content, data, credentials, or third-party permissions;
- the client is dissatisfied with business results, market traction, growth, revenue, investment, customer acquisition, user adoption, or operational outcomes;
- the client cancels after work, onboarding, planning, research, implementation, access, or delivery has begun;
- the client changes business priorities, internal teams, product scope, brand direction, funding plans, or partnership requirements.
5.Failed Payments and Payment Failures
If money is debited from the user, customer, or client but the payment is marked failed and the corresponding subscription, entitlement, workspace, service, plan, access, or deliverable is not activated, the user should report the issue with relevant transaction details.
If the failed payment amount has been credited to Neosophical Labs Pvt Ltd or is received by Neosophical Labs Pvt Ltd through the applicable payment system, the Company shall process the eligible refund to the original payment method within 45 business days after verification of receipt and failure of activation, subject to applicable law and payment-provider requirements.
If the amount has not been credited to Neosophical Labs Pvt Ltd, the Company cannot refund an amount it has not received. In such cases, the user must contact the relevant bank, card issuer, UPI provider, payment gateway, app store, or payment provider. Neosophical Labs Pvt Ltd may provide reasonable transaction support where available but shall not be liable for the failure, delay, hold, reversal, or non-credit.
6.Bank, Gateway, App Store, and Payment Provider Issues
Neosophical Labs Pvt Ltd shall not be liable for any payment failure, refund delay, failed reversal, delayed settlement, non-settlement, chargeback hold, fraud review, duplicate debit, authorization hold, bank downtime, gateway outage, UPI failure, app-store processing issue, payment-provider issue, or other banking/payment-system issue caused by the user’s bank, the Company’s bank, card networks, UPI systems, payment aggregators, app stores, payment gateways, or any third-party payment intermediary.
Where a refund is approved or required and processed by the Company, banks, card networks, app stores, gateways, UPI providers, and payment processors may require additional time to reflect the amount in the user’s account after initiation. Such third-party processing timelines are outside the Company’s control.
Any bank charges, foreign exchange charges, platform fees, gateway fees, taxes, or third-party deductions may be governed by the applicable provider’s terms and applicable law.
7.Duplicate Charges and Technical Billing Errors
Verified duplicate charges or demonstrable technical billing errors may be corrected at Neosophical Labs’ discretion or as required by applicable law, provided that the relevant amount has actually been credited to the Company or is traceable through the Company’s payment records.
Users and customers should report such issues promptly to official contact channel available on https://neosophical.com with the transaction ID, payment reference, registered email or phone number, date of payment, plan name, invoice number where applicable, and screenshots or proof of debit.
8.Free Trials, Promotions, Coupons, and Discounts
Free trials, introductory offers, coupons, discounts, bonus periods, promotional pricing, and limited-time plans may be subject to separate conditions displayed at enrolment, checkout, invoice, proposal, or activation.
Where a trial or promotional plan converts into a paid subscription, the purchase flow or applicable terms will disclose the conversion and billing conditions. Users are responsible for cancelling before the disclosed conversion date if they do not wish to be charged.
Promotional eligibility may be limited by account, user, workspace, device, payment method, organization, region, plan, or previous usage. Promotional pricing may not continue after the promotional period.
9.Plan Changes, Upgrades, and Downgrades
We may introduce, modify, discontinue, rename, combine, split, or change subscription plans, feature limits, usage limits, pricing, trial terms, billing cycles, or included services prospectively.
Upgrades, downgrades, billing-cycle changes, custom plans, workspace changes, add-ons, and usage-limit changes may take effect immediately or at the next renewal, as disclosed in the applicable flow, invoice, commercial proposal, or customer agreement.
Downgrading or reducing usage after a charge has been willingly made and processed does not create a refund right unless required by applicable law or expressly approved in writing by Neosophical Labs Pvt Ltd.
10.Chargebacks, Fraud Review, and Access Restrictions
We may investigate refund requests, chargebacks, payment failures, suspicious payments, unauthorized use, fraudulent transactions, misuse, abuse, or policy violations.
We may suspend, restrict, or terminate access while a payment, chargeback, fraud, security, or abuse review is pending. Users and customers must cooperate with reasonable verification requests.
11.No Waiver
Any refund, credit, extension, courtesy adjustment, or exception granted in one case is discretionary and does not create a right, precedent, waiver, or obligation to provide the same remedy in any other case.
12.Changes to This Policy
We may update this Policy from time to time. Updated versions may be posted on the website, app, dashboard, checkout page, payment flow, invoice, or communicated through reasonable means. Continued use of the Service after updates become effective constitutes acknowledgement of the updated Policy.

This Policy shall be governed by the laws of India. All disputes, claims, grievances, proceedings, or causes of action arising out of or relating to this Policy, billing, subscriptions, refunds, cancellations, payments, failed payments, or the Service shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.
