These Terms of Use (“Terms”) govern access to and use of the website, communications, proposals, products, services, platforms, client engagements, demonstrations, partnerships, and business operations of Neosophical Labs Pvt Ltd (“Neosophical Labs”, “we”, “our”, or “us”).

By accessing our website, engaging with our team, purchasing services, entering into an engagement, using any service or product, or acting on behalf of an organisation, you agree to these Terms. If a separate written agreement, statement of work, product-specific terms, or order form applies, that document will control to the extent of any conflict.

Neosophical Labs is an AI Venture Product Studio. We build AI-native products and also partner with non-tech businesses, founders, startups, creators, agencies, and organisations to function as their product and technology partner, helping reduce the operational burden of technology, resources, infrastructure, hiring, product delivery, and ongoing implementation.

Our work may include product strategy, product design, software development, AI automation, workflow automation, full-stack engineering, cloud infrastructure, integrations, data systems, HR/ERP/payroll systems, content systems, analytics, technical support, product maintenance, and related services.

Clients, partners, users, and organisations are responsible for the business inputs, decisions, approvals, instructions, content, data, access permissions, legal compliance, regulatory compliance, third-party rights, and commercial choices they make in relation to any project, product, service, or engagement.

Neosophical Labs may support product and technology execution, but it does not become a client’s employer, legal adviser, tax adviser, statutory compliance officer, auditor, investment adviser, business decision-maker, or replacement for professional advice unless expressly agreed in writing.

Our products and services may use AI systems, automated workflows, models, agents, prompts, tools, integrations, and third-party platforms. AI-generated or automation-assisted outputs may be incomplete, inaccurate, delayed, biased, unsuitable, or require human review.

Clients, partners, and users are solely responsible for reviewing, approving, validating, publishing, implementing, or relying on any output, recommendation, analysis, design, code, content, workflow, integration, report, decision support, or automated result. Any action taken by a client, partner, user, administrator, employee, contractor, or third party based on any Neosophical Labs service, product, output, or communication is taken at their sole discretion and risk.

Unless a separate written agreement states otherwise, Neosophical Labs retains all rights in its pre-existing intellectual property, product ideas, frameworks, templates, tools, libraries, code components, reusable modules, AI workflows, prompts, internal systems, documentation, methods, know-how, design systems, processes, and proprietary products.

Client-specific deliverables may be assigned or licensed according to the applicable statement of work, invoice, order form, or written agreement. Third-party software, open-source components, APIs, plugins, models, libraries, fonts, media, and platforms remain subject to their own licence terms.

Nothing on the website, in proposals, or in demonstrations transfers ownership of Neosophical Labs products, source code, internal systems, proprietary technology, or product studio assets unless expressly stated in a signed written agreement.

Each party may receive confidential, business, technical, personal, financial, or operational information during discussions or engagements. Such information should be used only for the relevant business purpose and protected with reasonable care. Additional confidentiality obligations may be set out in a separate agreement or non-disclosure agreement.

Clients and partners must not share unlawful, unauthorised, infringing, sensitive, confidential, personal, or regulated data unless they have the right to share it and it is necessary for the engagement. Use of information is also governed by the applicable Privacy Policy.

Fees, subscriptions, retainers, implementation charges, development costs, maintenance fees, support fees, seat fees, licensing terms, revenue-share terms, equity or partnership arrangements, taxes, payment timelines, renewal terms, usage limits, and refund rules will be governed by the applicable proposal, invoice, order form, statement of work, product page, or written agreement.

Unless otherwise agreed in writing, payments once due are non-refundable, and delayed payments may result in suspension of work, support, access, delivery, or product usage.

Our products and services may depend on cloud providers, AI providers, payment processors, app stores, communication tools, analytics platforms, APIs, hosting providers, open-source software, and other third-party services. Neosophical Labs is not responsible for third-party outages, pricing changes, policy changes, security incidents, licence restrictions, service limitations, or platform decisions outside its reasonable control.

• Use services or outputs for unlawful, harmful, deceptive, infringing, abusive, exploitative, or unauthorised purposes.
• Upload data or materials without necessary rights, permissions, consents, licences, or authority.
• Attempt to reverse engineer, disrupt, overload, compromise, scrape, or bypass security, billing, access, or usage controls.
• Misrepresent outputs, impersonate others, violate third-party rights, or use Neosophical Labs products to create or distribute illegal content.
• Use services in a manner that violates applicable law, contracts, platform rules, industry regulations, or third-party terms.

Neosophical Labs may assist with product development, technology implementation, automation, operations, and growth infrastructure. However, we do not guarantee funding, revenue, traffic, conversions, market traction, investment, hiring success, compliance outcomes, business results, app-store approval, uninterrupted operations, or any specific commercial outcome unless expressly agreed in writing.

We may suspend, restrict, or terminate access to services, products, workspaces, support, or engagements where required by law, caused by non-payment, requested by an authorised client administrator, necessary for security, or where we reasonably suspect misuse, unauthorised access, infringement, fraud, abuse, policy violation, or breach of these Terms.

To the fullest extent permitted by law, the website, products, services, outputs, demonstrations, prototypes, documentation, and communications are provided on an “as is” and “as available” basis. Neosophical Labs disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, security, availability, error-free operation, and suitability for any specific legal, commercial, technical, regulatory, or business outcome.

To the fullest extent permitted by law, Neosophical Labs Pvt Ltd, its affiliates, directors, employees, contractors, partners, licensors, service providers, and representatives shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, or business losses, including loss of profits, revenue, goodwill, data, opportunity, reputation, productivity, customers, funding, business interruption, project delay, statutory penalties, third-party claims, or decisions taken by clients, partners, users, administrators, employees, or third parties at their sole discretion.

Unless a separate signed agreement states otherwise, the aggregate liability of Neosophical Labs for all claims relating to the website, products, services, engagements, outputs, or these Terms shall not exceed the fees actually paid to Neosophical Labs for the relevant service during the three months preceding the event giving rise to the claim.

Clients, partners, and users agree to indemnify, defend, and hold harmless Neosophical Labs Pvt Ltd, its affiliates, directors, employees, contractors, partners, licensors, service providers, and representatives from claims, losses, liabilities, damages, penalties, costs, and expenses arising from their use of the website, products, services, outputs, data, content, instructions, decisions, third-party rights, legal violations, or breach of these Terms.

We may update these Terms from time to time. Updated Terms may be posted on our website or communicated through reasonable means. Continued use of the website, products, or services after updates become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of India. All disputes, claims, grievances, proceedings, or causes of action arising out of or relating to Neosophical Labs, its website, services, products, engagements, Privacy Policy, or these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India. Users, clients, vendors, and partners expressly consent to such exclusive jurisdiction and venue.
